GENERAL TERMS AND CONDITIONS

1. Introduction
These General Terms and Conditions ("Terms") govern the sale, supply, design, installation, commissioning, maintenance, and related services provided by Solar Universe India, an arm of Success Impex Pvt. Ltd. ("Company"), to its customers ("Customer").
By accepting a quotation, purchase order, invoice, or service agreement, the Customer agrees to be bound by these Terms.
2. Scope of Services
The Company may provide the following services:
* Solar rooftop system design and engineering
* Supply of solar panels, inverters, structures, cables, and accessories
* Installation and commissioning services
* Operation and maintenance services
* Solar consultation and energy solutions
* Other renewable energy products and services
3. Quotations and Orders
* All quotations are valid for 15 days unless otherwise stated.
* Prices are subject to applicable taxes, duties, and government levies.
* Orders shall be deemed confirmed only upon receipt of written confirmation and agreed advance payment.
* Any modifications requested after order confirmation may result in additional charges.
4. Payment Terms
* Payment shall be made according to the schedule specified in the quotation or agreement.
* Delayed payments may attract interest at 18% per annum or the maximum rate permitted by law.
* The Company reserves the right to suspend work until outstanding payments are cleared.
* Ownership of supplied materials remains with the Company until full payment is received.
5. Delivery and Installation
* Delivery schedules are estimates and may vary due to logistics, weather, supplier delays, or government restrictions.
* The Customer shall provide safe and unrestricted access to the installation site.
* Any civil, structural, or electrical modifications not included in the quotation shall be charged separately.
* Installation timelines may be extended due to unforeseen circumstances.
6. Customer Responsibilities
The Customer shall:
* Provide accurate site information.
* Ensure roof and building structures are suitable for installation.
* Obtain necessary permissions where required.
* Provide uninterrupted access to the premises during installation.
* Ensure electrical systems comply with applicable safety standards.
7. Net Metering and Government Approvals
* Assistance may be provided for net metering and subsidy applications where applicable.
* Approval of subsidies, net metering, and utility permissions is solely at the discretion of the relevant authorities.
* The Company shall not be liable for delays, rejection, or changes in government policies.
8. Product Warranty
* Solar panels, inverters, batteries, and other equipment shall carry manufacturer warranties as applicable.
* Warranty terms shall be governed by the respective manufacturer.
* The Company shall assist in warranty claim processing but shall not be responsible for manufacturer decisions.
9. Workmanship Warranty
* The Company provides a workmanship warranty of 12 months from the date of commissioning unless otherwise agreed in writing.
* This warranty covers installation defects arising from workmanship only.
* Damage caused by misuse, accidents, natural disasters, unauthorized modifications, or third-party intervention is excluded.
10. Performance Disclaimer
* Estimated energy generation figures are based on standard assumptions.
* Actual performance may vary due to weather conditions, shading, dust accumulation, equipment degradation, grid availability, and site-specific factors.
* The Company does not guarantee specific energy savings or electricity generation unless expressly agreed in writing.
11. Maintenance
* Routine cleaning and maintenance are the responsibility of the Customer unless covered under a separate maintenance contract.
* Failure to maintain the system may affect performance and warranty eligibility.
12. Limitation of Liability
* The Company's total liability shall not exceed the amount paid by the Customer for the specific project or service.
* The Company shall not be liable for indirect, consequential, incidental, or special damages including loss of profits, business interruption, or loss of data.
13. Force Majeure
The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to:
* Natural disasters
* Floods, earthquakes, storms, or fires
* Government actions or restrictions
* Labor disputes
* Supply chain disruptions
* War, terrorism, or civil unrest
14. Cancellation and Refund Policy
* Advance payments are generally non-refundable once procurement or project execution has commenced.
* Any cancellation request shall be subject to deduction of actual costs incurred by the Company.
* Refunds, if applicable, shall be processed within a reasonable period after approval.
15. Intellectual Property
All designs, drawings, proposals, technical documents, and related materials prepared by the Company remain its intellectual property unless otherwise agreed in writing.
16. Confidentiality
Both parties agree to maintain confidentiality of proprietary, commercial, and technical information exchanged during the course of business.
17. Compliance with Laws
The Customer and the Company shall comply with all applicable laws, regulations, safety standards, and government requirements in India.
18. Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be resolved through mutual discussion.
If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The seat of arbitration shall be Delhi, India.
19. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to arbitration provisions, courts located in Delhi shall have exclusive jurisdiction over any disputes arising from these Terms.
20. Amendments
The Company reserves the right to amend these Terms at any time. Updated versions shall become effective upon publication or communication to customers.
